Terms of Service

ClosePack is a draft generator. All output produced by ClosePack (including but not limited to WIP schedules, balance summaries, and close packages) must be reviewed and approved by a qualified Certified Public Accountant (CPA) or licensed accountant before submission to clients, tax authorities, auditors, or other third parties. ClosePack is not a substitute for professional accounting judgment. We are not liable for errors or omissions in client deliverables that result from unreviewed ClosePack output.

1. Acceptance of terms

By creating an account on ClosePack, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the service.

2. Service description

ClosePack is a software-as-a-service product that processes accounting CSV exports and generates draft close packages including WIP schedules, balance summaries, P&L summaries, and review checklists.

The service is provided "as is" without warranty of any kind. We make best efforts to ensure accuracy of calculations but do not guarantee mathematical perfection or fitness for any particular purpose.

3. Eligibility

You must be at least 18 years old and authorized to enter into binding contracts. ClosePack is intended for use by accounting and bookkeeping professionals.

4. Account responsibilities

  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You agree to notify us immediately of any unauthorized access.
  • You agree to provide accurate and complete information during registration.

5. Pricing and billing

ClosePack offers two plans: $29/month subscription (auto-renewing monthly) and $99/year one-time payment (no auto-renewal). Prices are in US Dollars and exclude applicable sales tax (handled by our Merchant of Record, Paddle).

Subscriptions can be cancelled at any time via the customer portal. Cancellations take effect at the end of the current billing period; we do not provide pro-rated refunds for unused time.

One-time annual purchases are non-refundable except as required by applicable consumer protection law.

6. Acceptable use

You agree NOT to:

  • Use ClosePack for any illegal purpose or in violation of any law
  • Attempt to reverse engineer, decompile, or extract source code
  • Resell, sublicense, or distribute access to your account
  • Upload data containing malware, viruses, or harmful code
  • Upload personally identifiable information (PII) of individuals beyond what is necessary for accounting purposes
  • Use the service to build a competing product
  • Make excessive automated requests that disrupt the service

7. Data ownership

You retain all rights to data you upload to ClosePack. We do not claim ownership of your or your clients' financial data.

Uploaded files are processed and deleted within 24 hours. We do not retain copies. See our Privacy Policy for details.

8. Intellectual property

ClosePack, including all software, design, logos, and content, is owned by us. These Terms grant you a limited, non-exclusive, non-transferable license to use the service.

9. Limitation of liability

To the maximum extent permitted by law, ClosePack and its operators are not liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Lost profits, lost revenue, lost data, or business interruption
  • Errors in client deliverables resulting from unreviewed ClosePack output
  • Audit failures, tax penalties, or regulatory violations stemming from use of our service

Our total cumulative liability for any claim arising from your use of ClosePack shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100.

10. Indemnification

You agree to indemnify and hold harmless ClosePack and its operators from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any rights of a third party.

11. Service availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance, upgrades, or temporarily suspend the service. We are not liable for downtime.

12. Termination

You may delete your account at any time via account settings or by emailing hello@closepack.app.

We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or for any other lawful reason. We will refund any unused prepaid amounts where required by applicable law.

13. Changes to terms

We may update these Terms from time to time. Material changes will be communicated via email to registered users at least 14 days before they take effect. Continued use of the service after changes constitutes acceptance.

14. Governing law

These Terms are governed by the laws of Ukraine, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of Kyiv, Ukraine, except where applicable consumer protection law grants you other rights.
